NV+ dead and need to replace

Lightening can be nasty - if you have coax TV/broadband, it can enter that way, and bypass the surge protectors. You might check on your surge warranties though, sometimes they cover damaged equipment to some degree.
The raid formats are not compatible, and the OS partitions aren't either. So you will need to start over.
The ultra should wipe the disks, though some have reported seeing "corrupt root" instead. Deleting the partitions (for instance from Windows) would prevent that. BTW, you might also want to test the disks, as they may be dead too.
